Born on Wall Street
Adamson Brothers did not begin as an advisory firm. It began, in 1998, as a full-service U.S. broker-dealer and investment banking house — SEC- and FINRA-registered under CRD #46684 — founded by Andy Altahawi after his years as a Senior Vice President in the Investment Banking division of Prudential Securities, then one of the country’s leading full-service investment banks, under the chairmanship of Wick Simons, the former Chairman of NASDAQ.
The apprenticeship mattered. The underwriting discipline, road-show execution, and institutional standards of 1990s Wall Street were carried into the new firm from its first engagement — and they remain the standard by which the firm runs a listing today.
The broker-dealer years
Under Mr. Altahawi’s leadership, Adamson Brothers grew into a multi-office firm engaged in equity and bond trading, options, mutual funds, market making, and a robust corporate finance practice covering IPOs, follow-on offerings, private placements, SPACs, reverse mergers, and structured financings. Through those years the firm took hundreds of companies public on U.S. exchanges and the OTC markets and was credited with raising billions of dollars in IPO and follow-on financings for issuer clients across technology, life sciences, real estate, financial services, energy, and industrial sectors.
The firm maintained a clean customer record throughout its broker-dealer operations — it was never the subject of a customer complaint during its years as a registered broker-dealer. The turn
The 2008 global financial crisis restructured the American broker-dealer landscape, and Adamson Brothers made a deliberate choice: rather than shrink into the new economics of the brokerage business, it would concentrate on the work it had always done best — taking companies public. The firm transitioned from a registered broker-dealer into a specialized capital markets advisory house, and it has operated in that capacity ever since.

The firm today
Today Adamson Brothers Corp., a Wyoming corporation, runs two segments under one name.
Exchange listing advisory — the primary practice — guides private and public issuers onto NYSE and NASDAQ: direct listings, traditional IPO preparation, Regulation A+ “mini-IPO” offerings, SPACs and uplistings from the OTC markets, and the listing readiness, governance build-out, and documentation coordination behind each of them. The firm has provided advisory input on a number of widely-followed listings and direct listings on NYSE and NASDAQ.
The cross-border law practice — the second segment — is the international legal practice of the firm’s founder, active since 1986: cross-border corporate structuring, M&A, arbitration, and governance counsel, run in co-counsel with U.S.-admitted, European, and other admitted attorneys in every jurisdiction a matter touches.
How the two segments meet
Most advisory firms can read an exchange rulebook. Very few can also restructure a holding company across three jurisdictions so that the entity presented to the exchange is clean, auditable, and eligible. For international issuers — a founder in Dubai listing in New York, a European group preparing a U.S. offering — the combination is the firm: the law practice structures the company, and the advisory practice takes it to the bell.
